What should be included in the Confirmation Statement?
The Confirmation Statement, or CS01 form, is a statutory report that a company has to file to Companies House at least once every year. It shows a company’s registered details at a certain moment in time to make sure all information held at Companies House is correct and up to date. This includes information such as the registered office address, officer and shareholder details, business description (SIC codes) and share capital.
All companies and LLP’s have to file their confirmation statement yearly, even if they are dormant. The document should contain the company details (company number,
company name and registration number), the confirmation date and the signature of a director or secretary.
You will need to check the following before submitting:
- Check that the company name and number match the information on the public Register.
- All company information is correct and up to date.
- All relevant changes have been appropriately filed before or at the same time as you file the confirmation statement.
- The CS01 form has been signed by a director or secretary of the company.
What changes can be included on the Confirmation Statement?
You can make a number of changes to your company via the confirmation statement. These include changes to your principal business activities (SIC Codes), statement of capital, trading status of shares and shareholder information.
Any other changes need to be made separately before you file the confirmation statement. For example, a change to your company’s registered address or officer appointments both need to be filed beforehand.
When should you file your Confirmation Statement?
You need to file your confirmation statement within 14 days of your confirmation date. The confirmation date will be the same date exactly a year after your last confirmation statement submission but usually it is the date of your company’s incorporation. For example, if you filed your confirmation statement on the 1st of November 2023, the next statement is due within 14 days of the 1st of November 2024. You can find this date on Companies House.
If you submit your confirmation statement late you will receive a reminder but no financial penalty. Although, late submissions will affect your company’s credit rating. There is a risk that
Companies House will close your company if no confirmation is statement is received after the reminder has been sent which in turn will impact your company and its officers.
How much does it cost to file a Confirmation Statement?
There are two ways to file your confirmation statement through Companies House. An online submission costs £13 or you can file a paper version for £40. Once you have paid the fee, you are free to submit as many confirmation statements as you like within that year period.
There are also filing agents that will submit these statements for you.
